Extended Confidentiality (Delta Obligations)

This Exhibit C is attached to and forms part of the Partner Engagement Letter. It is intended to capture additional confidentiality and related obligations required for a specific Partner account, engagement, or workstream.

1. Scope

This Exhibit C applies only within the scope identified above.

2. Delta obligations

The obligations below are additional to, or stricter than, the baseline confidentiality obligations that otherwise apply under the MNDA or the default confidentiality terms referenced by the Engagement Letter.

3. Strictness rule

For the scoped Partner account or engagement, where this Exhibit C is stricter than baseline confidentiality obligations, the stricter requirement governs.

4. Covered personnel and flow-down

Partner confirms that any of its personnel, subcontractors, or representatives who will access scoped confidential information will be bound to obligations no less protective than those set out in this Exhibit C.

5. Survival

These delta obligations survive for the period required by the applicable baseline confidentiality obligations, but only with respect to information obtained within the scope identified in Section 1.
