Extended Confidentiality (Delta Obligations)

Regarding Alescent and [[PartnerLegalName]], effective [[EffectiveDate]]

This Exhibit C Extension (the "Extension") is an Exhibit Extension to the Partner Engagement Letter dated [[EngagementLetterEffectiveDate]] between Alescent, Inc. ("Alescent") and [[PartnerLegalName]] ("Partner"). This Extension extends and replaces Exhibit C solely within the scope expressly identified below.

1. Scope

This Extension applies only within the scope identified above.

2. Delta obligations

The obligations below are additional to, or stricter than, the baseline confidentiality obligations that otherwise apply under the MNDA or the default confidentiality terms referenced by the Engagement Letter.

3. Strictness rule

For the scoped Partner account or engagement, where this Extension is stricter than baseline confidentiality obligations, the stricter requirement governs.

4. Covered persons and flow-down

Partner confirms that any of its persons, subcontractors, or representatives who will access scoped confidential information will be bound to obligations no less protective than those set out in this Extension.

5. Survival

These delta obligations survive for the period required by the applicable baseline confidentiality obligations, but only with respect to information obtained within the scope identified in Section 1.

6. Execution

IN WITNESS WHEREOF, the Parties have executed this Exhibit C Extension as of the Effective Date.
