This Exhibit D is attached to and forms part of the Partner Engagement Letter.
1. Purpose¶
This Exhibit identifies certain persons who are explicitly authorized to participate in, access information for, or support the engagement. This Exhibit is non-exhaustive and does not imply that only the persons listed below may participate, unless the Parties expressly state a restriction in writing.
2. Scope¶

4. Confidentiality and flow-down acknowledgement¶
Each Party confirms that the persons it introduces to the engagement will be bound by confidentiality obligations no less protective than those applicable under the Engagement Letter, the MNDA (if applicable), and any scoped Exhibit C (Extended Confidentiality) obligations.
5. Updates¶
This Exhibit may be updated by a jointly executed Exhibit Extension that expressly identifies Exhibit D and the scope of the update.
